TERMS AND CONDITIONS
1. INTRODUCTION AND ACCEPTANCE
These Terms and Conditions (the “Terms”, “Agreement”) constitute a legally binding agreement between you and IconicTaxiApp (“we”, “us”, “our”, “the Company”) governing your access to and use of the IconicTaxiApp mobile application (the “App”, “Platform”, “Service”).
By downloading, installing, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms in their entirety, you must not access or use the App.

2. DEFINITIONS
For the purposes of these Terms:
“Driver” means a registered user of the Platform who holds a valid Hackney Carriage (Black Cab) driver licence issued by the relevant licensing authority.
“Admin Driver” means a Driver who has been granted limited administrative privileges by the Company, including restricted access to Driver names and identification numbers for moderation purposes.
“Advertiser” means a trade-related business organisation that has entered into a commercial agreement with the Company to display advertising content within the App.
“Content” means all information, data, text, images, and other materials shared, posted, or transmitted through the Platform.
“Account” means the user profile created upon successful registration with the Platform.
“Subscription” means the recurring payment arrangement for continued access to the Platform services.
3. ELIGIBILITY AND ACCOUNT REGISTRATION
3.1 Age and Capacity Requirements
To register for and use the App, you must:
- Be at least 21 years of age
- Hold a current, valid Hackney Carriage (Black Cab) driver licence
- Possess the legal capacity to enter into binding contracts
- Not be barred from using the Service under applicable laws or regulations
3.2 Driver Verification Process
All Driver accounts are subject to verification of credentials, including review of badge photographs, driver photographs, and licence information. Verification typically takes 1-2 working days and occurs during the trial period. Drivers may access the Platform during verification, but if verification fails (e.g., invalid credentials, fraudulent information, non-Hackney Carriage licence), the account will be terminated immediately with no refund. The trial period does not extend due to verification processing time.
3.3 Registration Information
Driver registration requires submission of accurate and complete information, including:
- Full legal name (first name and surname)
- Location of operation (general geographic area)
- Valid professional badge or licence number
- Active telephone number
- Valid email address
- Driver photograph (physical image of the driver)
- Badge photograph (physical image of the actual Hackney Carriage badge)
3.4 Accuracy and Updates
You represent and warrant that all registration information provided is accurate, current, and complete. You agree to promptly update your Account information to maintain its accuracy. Failure to maintain accurate information may result in suspension or termination of your Account.
3.5 Account Security
You are solely responsible for:
- Maintaining the confidentiality of your login credentials
- All activities conducted through your Account
- Implementing reasonable security measures to prevent unauthorised access
- Notifying the Company immediately upon discovery of any unauthorised use or security breach
You must not share your Account credentials with any third party or allow others to access your Account.
3.6 Device Restriction and Reset Policy
Each Driver account is restricted to use on one device only. The account is locked to the specific device used during initial registration and cannot be accessed from multiple devices simultaneously or transferred freely between devices.
Device Change/Reset Process:
If you need to change devices (e.g., new phone, device replacement), you must request a device reset by contacting account@iconictaxiapp.com. Device resets require manual verification and typically take 2-3 working days to process. During the reset period, you will not have access to the Platform on any device.
Your subscription continues to run during the device reset period, and you are not entitled to refunds, credits, or subscription extensions for time without Platform access during the reset process. The Company is not liable if the reset process takes longer than 2-3 working days.
Unauthorised Device Access:
Attempting to log in or access your account from a second device without completing the reset process will result in login failure and may trigger security protocols. Repeated unauthorised device access attempts may result in account suspension or termination.
4. SUBSCRIPTION TERMS
4.1 Subscription Types
The Platform offers the following subscription services:
For Drivers:
- Driver Plan - Monthly subscription for access to Platform features and information exchange
- Taxi for Sale - Monthly subscription to list a taxi for sale (requires active Driver Plan)
For Trade-Related Businesses:
- Trade Advertisement - Monthly subscription for advertising slots within the Platform
4.2 Driver Plan Subscription
Trial Period:
New Driver registrations include a complimentary trial period as specified during registration. During the trial period, Drivers may access all standard Platform features without charge.
Paid Subscription:
Upon expiration of the trial period, continued access to the Platform requires an active paid subscription. Subscription fees are charged on a recurring monthly basis in accordance with the pricing structure communicated during registration and confirmed in your Account settings.
Automatic Renewal:
Subscriptions automatically renew on a monthly basis unless cancelled prior to the renewal date. By subscribing, you authorise the Company to charge your designated payment method automatically each billing cycle until cancellation.
4.3 Taxi for Sale Subscription
Eligibility:
Only Drivers with an active Driver Plan subscription may subscribe to the Taxi for Sale service. This subscription cannot be purchased independently.
Listing Setup Period:
Following payment for Taxi for Sale subscription, there is a setup process involving submission and exchange of taxi listing materials (photographs, description, registration plate details, pricing information, etc.). This setup period typically takes 1-2 working days but may take longer depending on the completeness of materials provided, revisions required, or delays in communication from the Driver.
The monthly subscription period begins from the date of payment, not from the date the listing goes live. The Company is not responsible or liable for the duration of the setup period, regardless of whether delays are caused by material review, technical configuration, revisions, or delayed responses from the Driver. Drivers are not entitled to refunds, credits, subscription extensions, or any other compensation for time used during the listing setup process.
Automatic Renewal:
Taxi for Sale subscriptions automatically renew monthly until cancelled. Cancellation does not affect the Driver Plan subscription unless separately cancelled.
4.4 Payment Terms
Payment Methods:
You must provide valid payment information and authorise the Company to charge your payment method for all applicable fees. You are responsible for ensuring that your payment method remains valid and has sufficient funds to process subscription charges.
Multiple Subscriptions:
Drivers maintaining both Driver Plan and Taxi for Sale subscriptions will be charged separately for each service according to their respective billing cycles.
4.5 Subscription Cancellation
You may cancel any subscription at any time through:
- The Account settings within the App
- Written notice to the Company via email at account@iconictaxiapp.com
Cancellation takes effect at the end of the current billing period. You will retain access to the cancelled subscription service until the conclusion of your paid subscription period. No partial refunds are provided for unused portions of the billing period.
Multiple Subscriptions:
Cancelling Driver Plan will automatically cancel any active Taxi for Sale subscription, as Taxi for Sale requires an active Driver Plan. Cancelling Taxi for Sale does not affect Driver Plan subscription.
4.6 Non-Refundable Policy
All subscription fees are non-refundable. This policy applies to Driver Plan, Taxi for Sale, and Trade Advertisement subscriptions, regardless of:
- Duration of use during the billing period
- Cancellation timing
- Account suspension or termination for Terms violations
- Service interruptions or technical issues
- Changes to Platform features or functionality
- Setup or verification periods
By subscribing, you acknowledge and accept this non-refundable policy.
4.7 Price Changes
The Company reserves the right to modify subscription pricing at any time. Existing subscribers will receive at least 30 days’ advance written notice of price increases. Continued use of the Platform following the effective date of a price change constitutes acceptance of the new pricing.
5. ADVERTISING SERVICES
5.1 Advertiser Subscriptions and Eligibility
Business Eligibility and Pre-Registration Contact:
Trade Advertisement subscriptions are exclusively for trade-related businesses serving the Hackney Carriage (Black Cab) industry (including but not limited to insurance providers, unions, dealerships, repair services, parts suppliers, equipment vendors, and other taxi-related services).
Businesses should contact us via the website contact page BEFORE subscribing to confirm their eligibility and suitability. By subscribing and making payment, businesses confirm they are trade-related and eligible for advertising services.
If upon verification a business is found to be ineligible (not trade-related to the Hackney Carriage industry), the subscription will be terminated with no refund, as businesses are expected to verify their eligibility before purchasing. Businesses may contact us via the website contact page to discuss eligibility, ask questions, or appeal decisions.
Subscription Terms:
Eligible businesses may purchase advertising slots within the Platform on a monthly subscription basis. Advertising terms, specifications, and pricing are communicated directly to Advertisers and confirmed during the subscription process.
Initial Setup Period for New Advertisers:
New advertisers undergo a one-time setup process involving business verification AND submission of advertising materials (images, text, logos, etc.), content review, approval, and technical configuration. This initial setup period typically takes 2-3 working days but may take longer depending on verification requirements, the complexity of materials, revisions required, or communication delays between the Advertiser and the Company.
The monthly subscription period begins from the date of payment, not from the date the advertisement goes live. The Company is not responsible or liable for the duration of the setup period, regardless of whether delays are caused by business verification, content review, technical configuration, material revisions, or communication exchanges. Advertisers are not entitled to refunds, credits, subscription extensions, or any other compensation for time used during the initial setup process.
5.2 Advertising Content Standards
All advertising Content must:
- Comply with UK advertising standards and applicable laws
- Be truthful, accurate, and non-misleading
- Not contain illegal, offensive, defamatory, or inappropriate material
- Be relevant to the Hackney Carriage (Black Cab) and trade-related industries
The Company reserves the right to reject, remove, or modify advertising Content at its sole discretion without prior notice.
5.3 Non-Refundable Advertising Fees
All advertising subscription fees are non-refundable. Advertisers are not entitled to refunds for:
- Early cancellation
- Unused advertising time
- Content rejection or removal
- Service interruptions
- Changes to advertising specifications or placement
6. PLATFORM USE AND ACCEPTABLE CONDUCT
6.1 Permitted Use
User Responsibility and Safety:
All users must use the Platform responsibly, lawfully, and in compliance with applicable laws and regulations. The Platform must only be accessed when it is safe to do so. Drivers must not use the App while driving or operating a vehicle unless the vehicle is stationary and it is safe and legal to access the Platform. Users are solely responsible for ensuring their use of the Platform does not compromise safety or violate any legal obligations.
The Platform is designed to facilitate professional information exchange among licensed Drivers, including:
- Traffic conditions, road closures, and route updates
- Public event schedules and venue information
- Public transport information (rail services, delays)
- Theatre, entertainment, and cultural venue information
- Taxi rank status and availability
- Airport operational information and updates
- Industry-related news and professional updates
6.2 Prohibited Conduct
Users must not engage in any of the following prohibited activities:
Content Violations:
- Posting false, misleading, inaccurate, or unverified information
- Sharing defamatory, discriminatory, harassing, or offensive Content
- Publishing Content that infringes intellectual property rights
- Disseminating spam, advertisements (unless authorised Advertiser), or unsolicited communications
- Sharing, copying, or distributing Platform content externally, including but not limited to:
- Taking screenshots of any Platform content
- Copying or extracting text, images, or data from the Platform
- Forwarding or sharing Platform information outside the App (including via messaging apps, social media, email, or any other means)
- Posting Platform content to social media or public forums
- Sharing Platform content with non-users or anyone outside the Platform
- Note: Sharing content with other Drivers within the Platform is encouraged and permitted
Platform Misuse:
- Using the Platform for illegal purposes or to facilitate unlawful activity
- Attempting to circumvent security measures or access restrictions
- Interfering with Platform operations or other users’ access
- Deploying automated systems, bots, or scraping tools
- Reverse engineering, decompiling, or extracting source code
Privacy and Data Violations:
- Sharing passengers’ personal information without explicit consent
- Collecting or harvesting other users’ personal data
- Impersonating other individuals or creating fraudulent Accounts
- Accessing or attempting to access others’ Accounts without authorisation
Professional Misconduct:
- Soliciting business outside Platform rules or Terms
- Engaging in anti-competitive behaviour or market manipulation
- Harassing, threatening, or abusing other users
- Violating professional licensing requirements or regulations
6.3 Passenger Privacy
Drivers must not share any personal information about passengers, including names, addresses, telephone numbers, travel details, or any other identifying information, unless legally required or with express passenger consent.
7. ENFORCEMENT AND PENALTIES
7.1 Monitoring and Investigation
The Company reserves the right to:
- Monitor Content and user activity for Terms compliance
- Investigate suspected violations or complaints
- Access Account information when necessary for enforcement purposes
- Cooperate with law enforcement authorities
7.2 Enforcement Actions
Violations of these Terms may result in the following enforcement actions, at the Company’s sole discretion:
First Violation:
Written warning and requirement to cease the prohibited conduct immediately.
Subsequent or Minor Violations:
Temporary Account suspension for a period determined by the Company based on violation severity.
Serious or Repeated Violations:
Permanent Account termination and removal from the Platform.
7.3 Immediate Termination
The Company may immediately suspend or terminate Accounts without prior warning for:
- Illegal activity or facilitating criminal conduct
- Severe safety violations or threats to users
- Fraud, impersonation, or providing false registration information
- Hacking, security breaches, or unauthorised access attempts
- Repeated violations following previous warnings or suspensions
- Non-payment of subscription fees
- Sharing Platform content externally (screenshots, copying content, distributing information outside the Platform)
- Unauthorised multi-device access or circumventing device restrictions
Content Sharing Violations:
Sharing Platform content externally (including screenshots, copying text, or forwarding information outside the App) will typically result in immediate account suspension. If the violation is repeated after reinstatement or is deemed particularly severe, the account will be permanently terminated. The Company reserves discretion to determine appropriate penalties based on the nature and severity of the violation.
7.4 No Refunds for Violations
Users whose Accounts are suspended or terminated for Terms violations are not entitled to refunds of any subscription fees paid. The non-refundable policy applies regardless of enforcement actions taken.
7.5 Appeals
Users may appeal enforcement decisions by submitting a written request to [INSERT EMAIL ADDRESS] within 14 days of the enforcement action. The Company will review appeals in good faith but reserves final decision-making authority.
8. ADMINISTRATIVE ACCESS AND PRIVILEGES
8.1 Driver Responsibility and Safe Use
Drivers acknowledge and agree that they are solely responsible for using the Platform safely and in compliance with all applicable laws. The Platform must never be accessed while driving or when the driver’s attention is required for safe vehicle operation. Drivers must ensure their vehicle is stationary and that it is safe and legal to use the Platform before accessing any features or content. Failure to use the Platform responsibly may result in accidents, legal liability, or licence suspension. The Company accepts no liability for incidents arising from unsafe or unlawful use of the Platform.
8.2 Admin Driver Designation
Admin Drivers are selected by the Company based on demonstrated reliability, professionalism, and adherence to Platform standards. Admin Driver status may be granted or revoked at the Company’s sole discretion.
8.3 Admin Driver Access
Admin Drivers have restricted access limited to Driver names and Driver identification numbers only. Admin Drivers do not have access to any other sensitive personal information.
8.4 Admin Driver Responsibilities
Admin Drivers may be requested to assist with:
- Content moderation and reporting violations
- Responding to user queries or concerns
- Identifying problematic behaviour or patterns
- Providing feedback on Platform improvements
8.5 Abuse of Privileges
Admin Drivers must not:
- Misuse access privileges for personal benefit
- Share restricted information outside the Platform
- Show bias, favouritism, or discrimination in moderation activities
- Exceed the scope of their authorised access
Abuse of Admin Driver privileges will result in immediate revocation of administrative status and may result in Account termination.
9. INTELLECTUAL PROPERTY RIGHTS
9.1 Company Ownership
The Platform, including all software, design, graphics, text, functionality, trademarks, logos, and other materials (excluding user-generated Content), is owned by the Company and protected by copyright, trademark, patent, and other intellectual property laws.
9.2 Limited Licence
Subject to compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for personal, non-commercial purposes in accordance with these Terms.
9.3 User Content Licence
By posting or sharing Content on the Platform, you grant the Company a worldwide, non-exclusive, royalty-free, perpetual licence to use, reproduce, modify, display, and distribute your Content solely for the purposes of operating, promoting, and improving the Platform.
You retain all ownership rights to Content you create and share.
9.4 Restrictions
You must not:
- Copy, reproduce, or distribute Platform materials without authorisation
- Modify, adapt, or create derivative works based on the Platform
- Remove, obscure, or alter copyright notices, trademarks, or proprietary markings
- Use Company trademarks, logos, or branding without express written permission
10. DATA PROTECTION AND PRIVACY
10.1 Privacy Policy
Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains how we collect, process, and protect personal data in compliance with UK GDPR and the Data Protection Act 2018.
10.2 Consent to Processing
By using the Platform, you consent to the collection, processing, and use of your personal data as described in the Privacy Policy.
10.3 Data Controller
The Company acts as the data controller for all personal data processed through the Platform. Questions regarding data processing should be directed to account@iconictaxiapp.com.
11. DISCLAIMERS AND WARRANTIES
11.1 Service Availability
The Platform is provided on an “AS IS” and “AS AVAILABLE” basis. The Company does not warrant that:
- The Platform will be uninterrupted, timely, secure, or error-free
- Results obtained from Platform use will be accurate or reliable
- Defects or errors will be corrected promptly
- The Platform will meet your specific requirements
Development and Improvement Disclaimer:
The Platform may experience technical issues, bugs, or service interruptions, particularly during initial launch periods, updates, or while implementing new features and improvements. The Company is not liable for any losses, damages, or inconvenience arising from:
- Technical difficulties or system errors during development phases
- Service disruptions while improving or updating the Platform
- Bugs, glitches, or performance issues during teething periods
- Temporary unavailability during maintenance or upgrades
- Issues arising from beta features or new functionality testing
Users acknowledge that the Platform is continually evolving and may encounter technical challenges inherent to software development and improvement processes.
11.2 User-Generated Content
Content shared by Drivers is user-generated and not verified, endorsed, or guaranteed by the Company. You acknowledge that:
- Information may be inaccurate, outdated, or incomplete
- You use user-generated Content at your own risk
- The Company is not responsible for errors, omissions, or inaccuracies in user Content
11.3 No Professional Advice
Content on the Platform is for informational purposes only and does not constitute professional, legal, financial, or medical advice. You should not rely solely on Platform information for professional decision-making.
11.4 Third-Party Services
The Platform may integrate with or link to third-party services. The Company is not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk.
11.5 Security Limitations
While we implement reasonable security measures, no system is completely secure. The Company does not warrant that the Platform is free from viruses, malware, or security vulnerabilities. You are responsible for implementing appropriate security measures on your devices.
12. LIMITATION OF LIABILITY
12.1 Exclusion of Damages
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to:
- Loss of profits, revenue, or business opportunities
- Loss of data or information
- Service interruptions or unavailability
- Costs of substitute services
- Reputational harm
- Personal injury or property damage (except where caused by Company negligence)
- Technical issues, bugs, or errors during development or improvement phases
- Losses arising from teething problems or platform updates
12.2 Limitation of Aggregate Liability
The Company’s total aggregate liability arising from or relating to these Terms or your use of the Platform shall not exceed the total amount of subscription fees you paid to the Company in the 12 months immediately preceding the event giving rise to liability.
12.3 User Responsibility
You are solely responsible for:
- Your interactions with other Platform users
- Decisions made based on Platform Content
- Compliance with professional licensing requirements
- Compliance with applicable traffic and transportation laws
12.4 Statutory Rights
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Breach of statutory rights conferred on consumers
13. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable legal fees) arising from or relating to:
- Your use of the Platform or violation of these Terms
- Your Content or any information you submit
- Your violation of any third-party rights, including intellectual property or privacy rights
- Your violation of applicable laws or regulations
- Your professional conduct or licensing violations
This indemnification obligation survives termination of these Terms.
14. MODIFICATIONS TO TERMS
14.1 Right to Modify
The Company reserves the right to modify, amend, or update these Terms at any time at its sole discretion. Changes may be made to reflect:
- Changes in applicable laws or regulations
- Platform functionality or feature updates
- Clarification of existing provisions
- Addressing new issues or circumstances
14.2 Notice of Changes
Material changes to these Terms will be communicated through:
- Email notification to your registered email address
- In-app notification upon login
- Posting of updated Terms on the Company website with updated “Last Reviewed” date
14.3 Acceptance of Changes
Continued use of the Platform following notification of Terms changes constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must discontinue use and cancel your subscription in accordance with Section 4.5.
14.4 Review Obligation
You are responsible for periodically reviewing these Terms to remain informed of any modifications. Ignorance of Terms changes does not excuse non-compliance.
15. SERVICE MODIFICATIONS AND DISCONTINUATION
15.1 Feature Changes
The Company reserves the right to:
- Modify, update, or discontinue Platform features or functionality
- Introduce new features or services
- Change user interface design or navigation
- Adjust Content categories or information types
15.2 Service Discontinuation
The Company may, at its sole discretion, temporarily or permanently discontinue the Platform or any portion thereof. In the event of permanent discontinuation, the Company will provide reasonable advance notice where practicable.
15.3 No Liability for Changes
The Company is not liable for any modifications, suspensions, or discontinuations of the Platform or any features thereof. This includes technical issues, performance problems, or service interruptions that occur during development, testing, or improvement phases.
16. ACCOUNT TERMINATION
16.1 Termination by User
You may terminate your Account at any time by:
- Cancelling your subscription through Account settings
- Submitting a written termination request to account@iconictaxiapp.com
Termination takes effect upon completion of the cancellation process or at the end of the current billing period, as applicable.
16.2 Termination by Company
The Company may suspend or terminate your Account at any time, with or without cause, including but not limited to:
- Violation of these Terms or Platform rules
- Non-payment of subscription fees
- Fraudulent activity or security concerns
- Prolonged inactivity
- Discontinuation of the Platform
- At the Company’s discretion with reasonable notice
16.3 Effects of Termination
Upon Account termination:
- Your access to the Platform will immediately cease
- Your personal data will be processed in accordance with our Privacy Policy and Data Deletion Procedure
- Sensitive personal data (driver and badge photographs, phone number, location) will be deleted within 30 days
- Minimal data (name, badge number, and email address) will be retained for 12 months for dispute resolution and platform security purposes
- Financial records will be retained for 7 years as required by law
- You remain liable for all fees incurred prior to termination
- Provisions that should reasonably survive termination remain in effect, including intellectual property rights, disclaimers, limitations of liability, and indemnification obligations
16.4 No Refunds Upon Termination
Termination for any reason does not entitle you to refunds of subscription fees paid, in accordance with the non-refundable policy set forth in Section 4.6.
17. GOVERNING LAW AND JURISDICTION
17.1 Applicable Law
These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
17.2 Exclusive Jurisdiction
You irrevocably agree that the courts of England and Wales have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, their subject matter, or formation (including non-contractual disputes or claims).
17.3 Dispute Resolution Process
Before initiating formal legal proceedings, parties agree to attempt good-faith negotiation to resolve disputes. Either party may initiate negotiation by providing written notice describing the dispute to account@iconictaxiapp.com.
If negotiation does not resolve the dispute within 30 days, either party may pursue formal legal remedies.
18. GENERAL PROVISIONS
18.1 Entire Agreement
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and the Company regarding the Platform and supersede all prior agreements, understandings, and communications.
18.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, the provision shall be severed. All remaining provisions shall remain in full force and effect.
18.3 Waiver
The Company’s failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision. No waiver of any provision shall be deemed a further or continuing waiver of that or any other provision.
18.4 Assignment
You may not assign, transfer, or delegate these Terms or any rights or obligations hereunder without the Company’s prior written consent. The Company may freely assign these Terms without restriction. Any attempted assignment in violation of this provision is void.
18.5 Force Majeure
